Work Highlights

- Participation in the representation of a large Greek import company, which was in a joint venture with a foreign manufacturing company in (i) selling their shares (exercise of put option right), (ii) settling outstanding financial claims, (iii) terminating an exclusive distribution agreement and (iv) absorbing a Greek subsidiary established by the joint venture with the aim of reducing its operating costs.
- Representation of companies in the context of harmonization and compliance with the GDPR - 4624/2019 (Privacy and cookies policy, Creation of Activity File, Harmonization of commercial and employment contracts).
- Representation of a large import company operating as a Master Franchisor in the management of a 2,000,000 euros claim against one of its franchisees, (i) initially out of court (through debt recognition agreements and cumulative assumption), (ii) then through court action (through precautionary seizure of bank accounts and real estate of the debtor), and finally (iii) by achieving the sale of a large commercial property to pay off the debt.
- Representation of public limited companies in the harmonization of their articles of association with Law 4548/2018.
- Representation of a public limited company (i) in a due diligence by a foreign investor, (ii) in its financing through sale of a strategic property, (iii) in successive increases of its share capital and (iv) in the renegotiation of its loan agreements with the banks.
- Representation of a public limited company in (i) the restructuring and extension of a lease contract and (ii) inclusion in a settlement of its overdue capital that was in arrears within the Banking Code of Conduct.
- Representation of a public limited company in a series of commercial lease agreements, including two commercial leases of preserved buildings and one lease with the State in accordance with Law 3130/2003.
- Representation of a public limited company in an out-of-court settlement due to early termination of a commercial lease of an 8,000 sq.m. office property, including (i) settlement of outstanding financial obligations with the tenant and (ii) repair of damage caused by the use of the leased property.
- Represented retail consumer goods companies in the drafting (from the tenant's side) of lease agreements for stores, s.i.s, pop-up stores and corners in large shopping malls.
- Represented a real estate management company in leasing (from the landlord's side) of stores within a shopping mall.
- Represented a public limited company in the process of unregistering mortgages that burdened their property to secure regulated VAT under Civil Code 1262.
- Represented a public limited company in (i) drafting their employment contracts, (ii) harmonizing them with the General Data Protection Regulation - GDPR, (c) drafting their Work Regulations and (iii) submission and approval procedure before the Work Directorate (Epitheorisi Ergasias).
- Participated in the representation of a large importer and distributor of vehicles and spare parts that maintained a wide selective distribution network, in (i) reorganizing their network, (ii) terminating their cooperation with part of the network, (iii) out-of-court settling disputes arising from customer indemnification claims (Goodwill Indemnity) and (iv) concluding new selective distribution agreements with the existing network, in conformity with the then European regulations on vertical agreements 330/2010 (now 720/2022)and the distribution of spare parts and after-sales services for vehicles 461/2010 (extended until 31.05.2028).
- Participated in the representation in a dispute with the public sector and specifically in a decision of fiscal correction which was notified in the context of an interest subsidy program for the support of small and medium-sized enterprises due to the pandemic, according to which the public sector claimed the recovery of the largest part of the subsidy due to the exceeding of the total funding limit which was provided at that time by the relevant invitation. For this case, objections were initially filed before the competent authority and an appeal is currently pending before the Council of State.
- Represented companies active in development projects of wind and photovoltaic parks (design, licensing, construction, supply of materials and maintenance) in the drafting (i) of project contracts, and specifically construction contracts, usually for turnkey projects (Silver Book) - EPC/Turnkey Projects (Engineering, Procurement, Construction) often based on FIDIC standards and maintenance - O&Ms (Operation & Maintenance) and (ii) their project financing (bank guarantees as a percentage of the contract price).
- Participated in the representation of a large import company before the Competition Commission in a case in which, among other suppliers, it was being denounced with allegations of violations of Article 1 of Law 3959/2011 (horizontal agreement, RPM, and restriction of parallel imports), which after the completion of an extensive on-site inspection, submission of questionnaires and a hearing before the Commission, ended favorably for the company with the imposition of a particularly low fine for the data of the Commission compared to those imposed on the other defendants (only 3% of the turnover in the relevant market ).
- Participated in the representation of a company in the field of production, supply and trading of electricity in a complaint before the Competition Commission against a gas supply company for abuse of dominant position and entrapment in tight take-or-pay natural gas supply contracts.
- Represented companies in notifications of mergers of undertakings before the Competition Commission (4a & 4b of law 703/77, now Articles 5-10 of Law 3959/2011) in the context of preventive control. In one case, both the acquiring and acquired companies were listed on the American stock exchange, operating globally in the design, manufacturing, and distribution of network products (broadband equipment, routers, wireless products, and other software management tools), while in the second case, the acquiring company provided environmental recycling services and the acquired company was active in the collection and processing of scrap metal.
- Providing legal representation to Greek import & distribution companies (oftentimes in collaboration with international law firms when applicable law is foreign), for Goodwill Indemnity claims and other damage claims, including out of court settlement negotiations or/and judicial representation.
